These Terms & Conditions (“Terms”) govern Haletale’s “Free Month Offer” (“Offer”). By signing up for Haletale and attempting to redeem the Offer, you agree to these Terms.

1) Offer Summary

The Offer provides one (1) month free on an eligible Haletale subscription only when you subscribe and successfully pay for a minimum of three (3) consecutive months.

This Offer is not a free trial. Access to Haletale is provided under a paid subscription, with a free month applied only after eligibility conditions are met.

2) Eligibility

To qualify, you must:

• Be a new Haletale customer (unless Haletale approves otherwise in writing).
  
  
• Subscribe to an eligible paid plan.
  
  
• Maintain an active account in good standing for at least three (3) consecutive paid months.
  
  

Haletale may refuse or revoke eligibility if there is suspected abuse, fraud, policy violations, or non-payment.

3) How the Free Month Is Applied

Unless stated otherwise in writing by Haletale:

• The free month is applied as a credit or waiver equivalent to one month of your eligible plan fee.
  
  
• The free month is typically applied after you have successfully completed and paid for three (3) consecutive months (e.g., applied to the 4th month), or as a credit on your invoice—at Haletale’s discretion.
  
  
• The free month applies to the base subscription fee only, and does not include taxes or any additional charges described below.
  
  

4) What the Offer Does Not Cover

The Offer does not cover:

• Applicable taxes (GST/HST/VAT or other local taxes).
  
  
• One-time setup, onboarding, training, migration, implementation, or professional services fees (if applicable).
  
  
• Add-ons, premium modules, usage-based charges, SMS/email fees, payment processing fees, or third-party costs (if applicable).
  
  
• Custom development or integrations not included in your plan.
  
  

5) Subscription Requirement and Payment Terms

To receive the free month:

• You must pay your subscription fees on time for three (3) consecutive months.
  
  
• Failed payments, chargebacks, disputed transactions, refunds, downgrades that materially reduce plan value (as determined by Haletale), or cancellation during the 3-month qualifying period may void the Offer.
  
  

6) Cancellation, Refunds, and Chargebacks

• If you cancel before completing three (3) consecutive paid months, you do not qualify for the free month.
  
  
• If a payment is reversed or charged back during the qualifying period, Haletale may deem the account ineligible.
  
  
• If Haletale issues a refund (in whole or part) during the qualifying period, eligibility may be voided.
  
  

7) Plan Changes During the Qualifying Period

• Upgrades are allowed and do not typically affect eligibility.
  
  
• Downgrades or changes that materially reduce the subscription value may void eligibility or reduce the free month value to match the final eligible plan (Haletale decides fairly based on billing).
  
  
• If you switch billing frequency or plans in a way that disrupts “three consecutive paid months,” you may need to re-qualify from the date the new plan begins.
  
  

8) Account Standing and Acceptable Use

Your account must remain in good standing, meaning:

• No overdue invoices.
  
  
• Compliance with Haletale’s Acceptable Use policies and any other applicable platform policies.
  
  
• No misuse intended to exploit promotions (e.g., repeated signups, multiple accounts for the same organization to redeem multiple times, or similar conduct).
  
  

9) One Offer Per Customer / Organization

Unless Haletale agrees otherwise in writing:

• Limit one (1) redemption per customer / organization.
  
  
• Haletale may determine, using reasonable criteria, whether multiple signups are associated with the same organization.
  
  

10) Non-Transferable, No Cash Value

The Offer:

• Is non-transferable.
  
  
• Cannot be redeemed for cash.
  
  
• Cannot be combined with other promotions or discounts unless Haletale explicitly states otherwise in writing.
  
  

11) Changes, Availability, and Termination of Offer

Haletale may modify, suspend, or end this Offer at any time. However:

• If you sign up while the Offer is active, Haletale will honor the Offer under the Terms in effect at the time you enrolled, unless required otherwise by law or in cases of abuse/fraud.
  
  

12) Taxes

You are responsible for all applicable taxes. If the free month is applied as a credit, taxes may still apply according to local rules.

13) Disclaimer

The Offer is provided “as is” and subject to these Terms. Haletale makes no promise that the Offer will meet your specific requirements beyond what is explicitly stated here.
